INTRODUCTION & ACCEPTANCE OF TERMS
Agreement to Terms
These Terms and Conditions (“Terms”, “Agreement”) constitute a legally binding agreement between you (“User”, “you”, “your”, “Subscriber”) and MedSphere Academy LTD (“MedSphere Academy”, “we”, “us”, “our”, “Company”), a limited company registered and operating under applicable laws, governing your access to and use of the MedSphere Academy platform, website (https://www.medsphere-academy.com/), mobile applications, and all related services (collectively, the “Platform” or “Service”).
By accessing, browsing, registering for, or using any part of our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, Cookie Policy, and any additional terms and conditions that may apply to specific features or services. If you do not agree to these Terms in their entirety, you must not access or use the Platform.
Capacity to Contract
By accepting these Terms, you represent and warrant that:
- You are at least 18 years of age or have reached the age of majority in your jurisdiction
- You have the legal capacity to enter into a binding contract
- You are not prohibited by law from accessing or using the Service
- All registration information you submit is accurate, current, and complete
- You will maintain the accuracy of such information throughout your use of the Service
If you are accessing the Platform on behalf of an organization, institution, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to “you” shall include both you individually and the entity you represent.
Parental or Guardian Consent
If you are between the ages of 13 and 18 (or the applicable age of majority in your jurisdiction), you may only use the Platform under the supervision of a parent or legal guardian who agrees to be bound by these Terms. Parents and guardians are responsible for the actions of minors using the Platform under their supervision.
Modifications and Updates
We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. Material changes will be communicated to you via email to your registered email address and/or through prominent notice on the Platform at least 30 days before the effective date of such changes. Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue use of the Platform and may cancel your subscription in accordance with Section 6 (Payment & Refunds).
Additional Terms
Certain features, services, or promotions may be subject to additional terms and conditions, which will be presented to you at the time of access or use. Such additional terms are incorporated by reference into these Terms and, in the event of conflict, shall prevail with respect to those specific features or services.
DEFINITIONS
For purposes of these Terms, the following definitions apply:
“Account” means the user account created by you to access and use the Platform.
“Certificate” means the digital certificate of completion issued upon successful completion of a Course.
“Content” means all materials, information, data, text, images, videos, audio, graphics, software, and other content available on or through the Platform, including but not limited to Course materials, assessments, and user-generated content.
“Course” or “Courses” means the educational programs, modules, lessons, and related materials offered through the Platform, including but not limited to:
- Medical Terminology Mastery
- Clinical Documentation Excellence
- Healthcare Compliance Fundamentals
“Intellectual Property” means all patents, trademarks, service marks, trade names, copyrights, trade secrets, proprietary information, and other intellectual property rights.
“Personal Data” means any information relating to an identified or identifiable natural person as defined under applicable data protection laws.
“Platform” means the MedSphere Academy website, mobile applications, and all related services and technologies.
“Subscription” means the recurring payment arrangement that provides access to Course content and Platform features.
“Subscription Fee” means the monthly recurring fee charged for access to the Platform, currently set at USD $20.00 per month (or local currency equivalent: 1,000 EGP in Egypt, 75 SAR in Saudi Arabia).
“User Content” means any content, materials, or information that you submit, upload, or transmit through the Platform.
SERVICE DESCRIPTION & ACCESS
Platform Overview
MedSphere Academy provides an online educational platform offering subscription-based access to healthcare-focused courses designed for healthcare professionals, students, administrators, and individuals seeking to enhance their leadership and management knowledge.
Self-Paced Learning
All Courses are designed for self-paced learning, allowing you to progress through materials at your own speed within the duration of your active Subscription. While estimated completion times are provided (4-8 weeks), you may take more or less time depending on your individual learning pace and schedule.
Access Rights
Subject to your compliance with these Terms and maintenance of an active Subscription:
- You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and Course Content for your personal, non-commercial educational purposes
- Access is provided on a streaming basis; Content may not be downloaded, copied, or distributed except as explicitly permitted
- Access is limited to the individual account holder; account sharing is strictly prohibited
- Access continues for the duration of your active Subscription and terminates upon cancellation or suspension
Geographic Availability
The Platform is available globally.
Language and Localization
Course Content is primarily delivered in English.
Updates and Modifications to Courses
We continuously improve and update our Courses to reflect current best practices, regulatory changes, and user feedback. We reserve the right to:
- Modify, update, or discontinue any Course or Course Content at any time
- Add new features, modules, or materials to existing Courses
- Correct errors or inaccuracies in Course Content
- Remove outdated or obsolete materials
Material changes to Course structure or content will be communicated to active Subscribers. Such modifications do not entitle you to a refund except as provided in Section 6.
Educational Purpose and Limitations
IMPORTANT NOTICE: The Courses and Content provided through the Platform are for educational and informational purposes only. They are NOT intended to:
- Provide medical, clinical, or professional advice
- Replace formal medical education, training, or certification programs
- Serve as a substitute for professional judgment in clinical practice
- Constitute legal, regulatory, or compliance advice specific to your situation
- Create a professional relationship between you and MedSphere Academy or any instructors
You should always consult with qualified professionals regarding specific medical, legal, or regulatory matters. The Content should not be relied upon as the sole basis for professional decisions.
USER ACCOUNTS & REGISTRATION
Account Creation
To access the Platform and Courses, you must create an Account by completing the registration process. During registration, you must provide:
- Full legal name
- Valid email address
- Secure password meeting our security requirements
- Country of residence
- Professional information (optional but recommended)
- Any other information reasonably requested by the Platform
Account Information Accuracy
You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your Account information to keep it accurate and current
- Notify us immediately of any unauthorised access to or use of your Account
- Accept responsibility for all activities that occur under your Account
Failure to maintain accurate Account information may result in suspension or termination of your access to the Platform.
Account Security
You are solely responsible for maintaining the confidentiality and security of your Account credentials, including your password. You agree to:
- Create a strong, unique password that is not used for other services
- Not share your Account credentials with any third party
- Not allow any third party to access your Account
- Immediately notify us of any suspected or actual security breach
- Log out of your Account at the end of each session, especially when using shared or public computers
We are not liable for any loss or damage arising from your failure to maintain Account security or from unauthorized access to your Account resulting from your actions or omissions.
Account Sharing Prohibition
Each Account is licensed for use by a single individual only. You may not:
- Share your Account credentials with others
- Allow multiple individuals to access the Platform using a single Account
- Create multiple Accounts for the purpose of circumventing Subscription fees
- Transfer, sell, or assign your Account to another person or entity
Violation of this provision constitutes a material breach of these Terms and may result in immediate termination of your Account without refund.
Single Device Limitation
While you may access your Account from multiple devices (computer, tablet, smartphone), simultaneous streaming from multiple devices using the same Account is prohibited.
Institutional or Group Access
Organizations, educational institutions, or employers seeking to provide access to multiple users must contact us to arrange appropriate institutional licensing. Unauthorized use of individual Accounts for group access violates these Terms.
Account Verification
We reserve the right to verify your identity and Account information at any time. You agree to cooperate with such verification processes and provide additional documentation if requested. Failure to complete verification may result in suspension or termination of your Account.
Account Suspension and Termination
We reserve the right to suspend or terminate your Account at any time, with or without notice, for:
- Violation of these Terms
- Fraudulent or illegal activity
- Providing false or misleading information
- Failure to pay Subscription Fees
- Abusive behavior toward our staff or other users
- Any conduct that we determine, in our sole discretion, to be harmful to the Platform, other users, or our business interests
Upon termination, your right to access the Platform immediately ceases, and we may delete your Account and associated data in accordance with our data retention policies.
SUBSCRIPTION & BILLING TERMS
Subscription Model
Access to the Platform and Courses is provided on a subscription basis. By subscribing, you agree to pay the applicable Subscription Fee on a recurring monthly basis until you cancel your Subscription.
Subscription Fee
Prices are displayed in the applicable currency based on your billing address or payment method location. All fees are exclusive of applicable taxes, duties, or governmental charges, which will be added to your bill where required by law.
Billing Cycle
Subscriptions operate on a monthly billing cycle:
- Your billing cycle begins on the date you complete your initial subscription purchase (the “Billing Date”)
- You will be automatically charged the Subscription Fee on the same day each month (your “Renewal Date”)
- If your Billing Date falls on a day that does not exist in a given month (e.g., the 31st), you will be charged on the last day of that month
Auto-Renewal
IMPORTANT: Your Subscription will automatically renew at the end of each billing cycle unless you cancel before the Renewal Date. By subscribing, you authorize us to charge your designated payment method automatically each month without requiring your prior approval for each recurring charge.
You acknowledge and agree that:
- Auto-renewal is a condition of maintaining access to the Platform
- You are responsible for canceling your Subscription if you no longer wish to be charged
- Cancellation must be completed before your next Renewal Date to avoid being charged for the subsequent billing cycle
No Minimum Commitment
There is no minimum subscription period or long-term commitment required. You may cancel your Subscription at any time, and cancellation will be effective at the end of your current billing cycle.
Price Changes
We reserve the right to modify the Subscription Fee at any time. Price changes will be communicated to you at least 30 days before they take effect. The new pricing will apply to your next billing cycle after the notice period.
If you do not agree to a price increase, you may cancel your Subscription before the new price takes effect. Continued use of the Platform after the price change becomes effective constitutes your acceptance of the new pricing.
Promotional Pricing and Discounts
From time to time, we may offer promotional pricing, discounts, or trial periods. Such offers:
- Are subject to specific terms and conditions presented at the time of the offer
- May be limited in duration, availability, or eligibility
- Cannot be combined with other offers unless explicitly stated
- May automatically convert to standard pricing at the end of the promotional period
- Are provided at our sole discretion and may be modified or discontinued at any time
Free Trial Period (if applicable)
If we offer a free trial period:
- You must provide valid payment information to activate the trial
- You will not be charged during the trial period
- Your Subscription will automatically convert to a paid Subscription at the end of the trial unless you cancel before the trial expires
- You will be charged the full Subscription Fee on the first day after the trial period ends
- Free trials are limited to one per user and may not be available in all jurisdictions
Taxes and Additional Charges
You are responsible for all applicable taxes, including but not limited to:
- Value Added Tax (VAT)
- Goods and Services Tax (GST)
- Sales tax
- Withholding tax
- Any other governmental charges or duties
Taxes will be calculated and added to your Subscription Fee based on your billing address and applicable tax laws. Tax rates and applicability may change, and you will be notified of any changes that affect your billing.
Currency Conversion
If your payment method is denominated in a currency different from your billing currency, your financial institution may apply currency conversion fees or exchange rate fluctuations. We are not responsible for such fees or rate variations.
Billing Disputes
If you believe you have been incorrectly charged, you must notify us within 60 days of the charge appearing on your statement. We will investigate all billing disputes in good faith and make appropriate corrections if an error is confirmed.
PAYMENT & REFUNDS
Payment Methods
We accept the following payment methods:
- Major credit cards (Visa, Mastercard, American Express)
- Debit cards
- Digital wallets (PayPal, Apple Pay, Google Pay, where available)
- Other payment methods may be added from time to time
Payment Authorization
By providing payment information, you:
- Represent that you are authorized to use the designated payment method
- Authorize us to charge the payment method for all Subscription Fees and applicable taxes
- Authorize us to update your payment information as provided by your financial institution or payment processor
- Agree to maintain valid and current payment information in your Account
Payment Processing
Payments are processed by third-party payment processors. We do not store complete credit card information on our servers. Your payment information is subject to the privacy policies and terms of service of our payment processors, in addition to our own Privacy Policy.
Failed Payments
If a payment fails for any reason:
- We will attempt to process the payment again within a reasonable timeframe
- You will receive notification of the failed payment via email
- Your access to the Platform may be suspended until payment is successfully processed
- You remain responsible for all outstanding amounts
- We may charge a reasonable fee for failed payment processing where permitted by law
If payment cannot be successfully processed after multiple attempts, your Subscription may be canceled, and your Account may be terminated.
Refund Limitations
Refunds are NOT available for:
- Subscription renewals beyond the first billing cycle
- Charges incurred more than 30 days prior to the refund request
- Accounts terminated for violation of these Terms
- Courses that have been completed and for which a Certificate has been issued
- Promotional or discounted subscriptions (unless otherwise specified in the promotion terms)
- Partial month refunds (subscriptions are billed monthly and refunds are not prorated)
Refund Processing
All approved refunds will be:
- Processed to the original payment method used for the purchase
- Completed within 10-15 business days, though your financial institution may require additional time to post the credit
- Issued in the original currency of the transaction
- Confirmed via email to your registered email address
We are not responsible for delays in refund processing caused by your financial institution or payment processor.
Chargebacks
If you initiate a chargeback or payment dispute with your financial institution:
- Your Account will be immediately suspended pending resolution
- You must cooperate with our investigation of the dispute
- If the chargeback is found to be unjustified, you will be responsible for the disputed amount plus any chargeback fees incurred
- Unjustified chargebacks may result in permanent termination of your Account
- You agree to contact us directly to resolve billing disputes before initiating a chargeback
No Refunds for Violation
No refunds will be issued if your Account is terminated due to violation of these Terms, including but not limited to account sharing, fraudulent activity, or abusive behavior.
INTELLECTUAL PROPERTY & CONTENT USAGE
Ownership of Platform and Content
All Content on the Platform, including but not limited to text, graphics, logos, images, videos, audio, software, course materials, assessments, and the compilation thereof (collectively, “Our Content”), is the exclusive property of MedSphere Academy or our licensors and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Trademarks
“MedSphere Academy,” the MedSphere Academy logo, and other marks used on the Platform are trademarks or registered trademarks of MedSphere Academy LTD. You may not use these marks without our prior written permission. All other trademarks, service marks, and trade names referenced on the Platform are the property of their respective owners.
Limited License to Users
Subject to your compliance with these Terms and maintenance of an active Subscription, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
- Access and view Course Content through the Platform for your personal, non-commercial educational use
- Download specifically designated materials (such as worksheets, templates, or reference guides) that are explicitly marked as downloadable
- Print reasonable portions of downloadable materials for your personal study purposes
This license does not include any right to:
- Copy, reproduce, distribute, or create derivative works from Course Content
- Publicly display, perform, or transmit Course Content
- Decompile, reverse engineer, or disassemble any software or technology used in the Platform
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices
- Use automated systems (bots, scrapers, etc.) to access or download Content
- Frame or mirror any portion of the Platform
Restrictions on Content Use
You expressly agree NOT to:
- Record, screenshot, or capture video or audio Content from the Platform
- Share, distribute, or transmit Course Content to third parties
- Upload Course Content to file-sharing services, social media, or other platforms
- Use Course Content for commercial purposes or financial gain
- Incorporate Course Content into other educational programs or materials
- Translate, adapt, or modify Course Content without authorization
- Use Course Content in any manner that competes with MedSphere Academy
User-Generated Content
Certain features of the Platform may allow you to submit, post, or transmit content, including comments, questions, feedback, or project submissions (“User Content”). By submitting User Content, you:
- Retain ownership of your User Content
- Grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content in connection with operating and improving the Platform
- Represent and warrant that you own or have the necessary rights to submit the User Content
- Represent that your User Content does not violate any third-party rights or applicable laws
- Agree that we may use your User Content for promotional, marketing, or educational purposes
User Content Standards
All User Content must:
- Be accurate and not misleading
- Comply with applicable laws and regulations
- Respect the intellectual property rights of others
- Not contain confidential patient information or protected health information
- Not contain offensive, defamatory, or inappropriate material
- Not contain malware, viruses, or harmful code
We reserve the right to remove any User Content that violates these standards or these Terms, without notice.
Feedback and Suggestions
If you provide us with feedback, suggestions, or ideas regarding the Platform or Courses (“Feedback”), you acknowledge and agree that:
- We may use such Feedback without any obligation to you
- Feedback is non-confidential and becomes our sole property
- We are not required to keep Feedback confidential or to compensate you for Feedback
- We may implement or not implement Feedback at our sole discretion
Copyright Infringement Claims
We respect the intellectual property rights of others and expect our users to do the same. If you believe that Content on the Platform infringes your copyright, please provide our designated copyright agent with the following information:
- A physical or electronic signature of the copyright owner or authorized representative
- Identification of the copyrighted work claimed to have been infringed
- Identification of the allegedly infringing material and its location on the Platform
- Your contact information (address, telephone number, email address)
- A statement that you have a good faith belief that the use is not authorized
- A statement, under penalty of perjury, that the information provided is accurate and that you are authorized to act on behalf of the copyright owner

Repeat Infringer Policy
We maintain a policy of terminating, in appropriate circumstances, the Accounts of users who are repeat infringers of intellectual property rights.
Third-Party Content and Links
The Platform may contain links to third-party websites, resources, or services that are not owned or controlled by MedSphere Academy. We do not endorse or assume responsibility for any third-party content, and your use of third-party resources is at your own risk and subject to their terms and conditions.
USER CONDUCT & PROHIBITED ACTIVITIES
Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You are responsible for all activity that occurs under your Account.
Prohibited Conduct
You agree NOT to:
Account-Related Violations:
- Share your Account credentials or allow others to use your Account
- Create multiple Accounts to circumvent restrictions or fees
- Impersonate any person or entity or misrepresent your affiliation
- Provide false or misleading information during registration or use
Content-Related Violations:
- Copy, reproduce, distribute, or publicly display Course Content
- Record, download, or capture Content except as explicitly permitted
- Modify, adapt, or create derivative works from Platform Content
- Remove or alter proprietary notices or labels
Technical Violations:
- Use automated systems, bots, or scrapers to access the Platform
- Attempt to gain unauthorized access to any portion of the Platform
- Interfere with or disrupt the Platform’s operation or servers
- Introduce viruses, malware, or other harmful code
- Circumvent any security features or access controls
- Reverse engineer, decompile, or disassemble any Platform software
Commercial Violations:
- Use the Platform or Content for commercial purposes without authorization
- Resell, sublicense, or redistribute access to the Platform
- Use Content to create competing educational products or services
- Scrape or aggregate Content for commercial databases
Harmful Conduct:
- Harass, threaten, or abuse other users or our staff
- Post or transmit offensive, defamatory, or inappropriate content
- Violate the privacy rights of others
- Engage in fraudulent or deceptive practices
- Violate any applicable laws or regulations
Professional Conduct
As the Platform serves healthcare professionals and students, we expect all users to maintain professional standards of conduct. This includes:
- Respectful communication with other users and staff
- Appropriate use of discussion forums and community features
- Maintaining confidentiality of patient information (never share protected health information)
- Honest representation of credentials and professional status
Compliance with Laws
You agree to comply with all applicable local, national, and international laws and regulations in connection with your use of the Platform, including but not limited to:
- Data protection and privacy laws
- Export control laws
- Healthcare regulations
- Intellectual property laws
- Consumer protection laws
Monitoring and Enforcement
We reserve the right, but have no obligation, to:
- Monitor use of the Platform for compliance with these Terms
- Investigate suspected violations
- Remove or disable access to Content that violates these Terms
- Report suspected illegal activity to law enforcement
- Cooperate with legal authorities in investigations
Consequences of Violations
Violation of these Terms may result in:
- Warning or notice of violation
- Temporary suspension of Account access
- Permanent termination of Account without refund
- Legal action to recover damages
- Reporting to appropriate authorities
The specific consequence will depend on the nature and severity of the violation, as determined in our sole discretion.
No Liability for User Conduct
We are not responsible for the conduct of any user or for any User Content posted on the Platform. You use the Platform at your own risk and agree to exercise caution in all interactions with other users.
PLATFORM AVAILABILITY & TECHNICAL REQUIREMENTS
Service Level Commitment
We strive to maintain high availability of the Platform and commit to a 99.5% uptime Service Level Agreement (SLA), calculated on a monthly basis. This commitment excludes:
- Scheduled maintenance windows (announced at least 48 hours in advance)
- Emergency maintenance required for security or critical issues
- Downtime caused by factors beyond our reasonable control (force majeure events)
- Issues arising from your internet connection, device, or local infrastructure
- Third-party service failures (payment processors, content delivery networks, etc.)
Scheduled Maintenance
We perform regular maintenance to ensure optimal Platform performance and security. Scheduled maintenance:
- Will be announced at least 48 hours in advance via email and Platform notifications
- Will typically be conducted during off-peak hours to minimize disruption
- May temporarily limit or prevent access to certain Platform features
- Does not entitle you to refunds or service credits
Emergency Maintenance
In the event of security vulnerabilities, critical bugs, or other urgent issues, we may perform emergency maintenance without advance notice. We will make reasonable efforts to:
- Minimize the duration of emergency maintenance
- Communicate the issue and expected resolution time as soon as practicable
- Restore full service as quickly as possible
Technical Requirements
To access and use the Platform effectively, you must have:
Internet Connection:
- Broadband internet connection with minimum speed of 5 Mbps (10 Mbps recommended for optimal video streaming)
- Stable connection for uninterrupted video playback
Supported Devices:
- Desktop or laptop computer (Windows 10+, macOS 10.14+, or Linux)
- Tablet (iOS 13+, Android 8+)
- Smartphone (iOS 13+, Android 8+)
Supported Browsers:
- Google Chrome (latest two versions)
- Mozilla Firefox (latest two versions)
- Safari (latest two versions)
- Microsoft Edge (latest two versions)
Additional Requirements:
- JavaScript enabled
- Cookies enabled
- Modern HTML5-compatible browser
- Audio output capability
- Sufficient screen resolution (minimum 1024×768, 1920×1080 recommended)
Your Responsibility for Technical Requirements
You are solely responsible for:
- Obtaining and maintaining compatible devices and internet connectivity
- Ensuring your equipment meets the technical requirements
- Costs associated with internet access and data usage
- Updating your browser and operating system as needed
- Troubleshooting issues with your local equipment or connection
We do not provide technical support for your personal devices, internet service, or local network configuration.
Platform Modifications
We continuously improve the Platform and may:
- Update, modify, or enhance features and functionality
- Change technical requirements or supported platforms
- Discontinue support for outdated browsers or operating systems
- Implement new technologies or architectures
We will provide reasonable notice of changes that materially affect your ability to access the Platform.
Third-Party Services
The Platform relies on certain third-party services, including:
- Content delivery networks (CDNs)
- Cloud hosting providers
- Payment processors
- Analytics services
- Email delivery services
While we select reliable third-party providers, we cannot guarantee their availability or performance. Disruptions to third-party services may affect Platform functionality.
Geographic Restrictions
While the Platform is generally available worldwide, certain features or Content may be restricted in specific jurisdictions due to:
- Legal or regulatory requirements
- Licensing restrictions
- Technical limitations
- Business decisions
We reserve the right to limit access to the Platform or specific features based on geographic location.
No Guarantee of Uninterrupted Service
While we strive for high availability, we cannot guarantee that the Platform will be available at all times or that access will be uninterrupted, timely, secure, or error-free. You acknowledge that:
- Internet-based services are subject to inherent limitations and delays
- Your access may be affected by factors beyond our control
- Temporary unavailability does not constitute a breach of these Terms
- We are not liable for any loss or damage resulting from Platform unavailability except as expressly provided in Section 12
CERTIFICATES & CREDENTIALS
Certificate Issuance
Upon successful completion of a Course, including all required assessments and projects, you will receive a digital Certificate of Completion. Certificates are issued automatically upon meeting completion requirements and are available for download through your Account dashboard.
Certificate Requirements
To earn a Certificate, you must:
- Maintain an active Subscription throughout the Course duration
- Complete all required video lessons and modules
- Pass all quizzes with a minimum score of 70% (or as specified for the Course)
- Successfully complete and submit the capstone project
- Complete the Course within the access period of your Subscription
- Comply with all Terms and academic integrity standards
Certificate Content
Each Certificate includes:

- Do not replace formal education, training, or certification required for healthcare professions
- Are not endorsed by or affiliated with any professional licensing board or regulatory body
- Are educational credentials demonstrating completion of course material only
No Accreditation Claims
MedSphere Academy Courses are not accredited by any professional accreditation body unless explicitly stated. You may not represent or imply that:
- Courses are accredited by medical, nursing, or other professional boards
- Certificates qualify you for professional licensure or certification

Continuing Education Credits

Certificate Revocation
We reserve the right to revoke a Certificate if:
- It was obtained through fraudulent means or cheating
- You violated academic integrity policies
- You violated these Terms during or after Course completion
- Errors in issuance are discovered
- Required assessments or projects are found to be plagiarized or improperly completed
Revoked Certificates will be removed from our verification system, and you will be notified of the revocation.
Certificate Replacement
If you need a replacement Certificate due to:
- Name change (legal documentation required)
- Loss of original Certificate
- Technical issues with download
You may request a replacement through your Account dashboard or by contacting support. Replacement Certificates may be subject to a reasonable administrative fee.
Use of Certificates
You may:
- Include the Certificate in your professional portfolio or resume
- Share the Certificate with employers, educational institutions, or professional networks
- Display the Certificate on professional networking sites (LinkedIn, etc.)
- Reference Course completion in professional contexts
You may NOT:
- Alter, modify, or falsify Certificate content
- Misrepresent the nature or scope of the Certificate
- Use the Certificate to imply professional licensure or accreditation
- Transfer the Certificate to another person

TERMINATION & SUSPENSION
Termination by You
You may terminate your Account and cancel your Subscription at any time by:
- Accessing your Account settings and selecting the cancellation option
- Contacting our support team with a cancellation request
- Following the cancellation instructions provided in your Account dashboard
Cancellation will be effective at the end of your current billing cycle. You will continue to have access to the Platform until the end of the paid period.
Effect of Cancellation
Upon cancellation:
- You will not be charged for subsequent billing cycles
- Your access to the Platform will continue until the end of your current billing period
- You will lose access to all Course Content at the end of the billing period
- Your Account data will be retained in accordance with our data retention policy
- Certificates already earned will remain valid and accessible for download
- No refunds will be provided for the remaining portion of your current billing cycle (except as provided in Section 6)
Termination by MedSphere Academy
We reserve the right to suspend or terminate your Account and access to the Platform at any time, with or without notice, for:
Violation of Terms: Including but not limited to:
- Account sharing or unauthorized access
- Fraudulent activity or payment disputes
- Intellectual property violations
- Prohibited conduct or activities
- Providing false or misleading information
Non-Payment:
- Failed payment processing after multiple attempts
- Chargebacks or payment disputes
- Outstanding amounts owed
Legal or Regulatory Reasons:
- Compliance with legal obligations or court orders
- Sanctions or export control restrictions

Business Reasons:
- Discontinuation of services in certain jurisdictions
